Terms of Use
Effective Date: March 17, 2026
Welcome to GearBridge. These Terms of Use ("Terms") govern your access to and use of all websites, applications, and online services operated by GearBridge (collectively, the "Platform"). GearBridge is owned and operated by Austin Denny, a sole proprietor registered in the State of Colorado ("GearBridge," "we," "us," or "our"). By accessing or using the Platform in any way, you agree to be bound by these Terms. If you do not accept these Terms in full, you must stop using the Platform immediately.
Please read these Terms carefully. They contain a binding arbitration provision and class action waiver (see Section 12) that affect your legal rights. By agreeing to these Terms, you waive the right to have disputes decided by a judge or jury, and you waive the right to participate in any class or representative proceeding. Instead, disputes will be resolved through individual arbitration before a neutral arbitrator, except where small claims court is available.
These Terms may be supplemented by additional terms applicable to specific features or services on the Platform ("Additional Terms"). Where Additional Terms conflict with these Terms, the Additional Terms will prevail unless they state otherwise. Our Privacy Policy is incorporated into these Terms by reference.
1. Introduction and Acceptance
By creating an account, placing an order, submitting a quote request, or otherwise using the Platform, you confirm that you have read, understood, and agree to these Terms. Your continued use of the Platform following any changes to these Terms constitutes acceptance of those changes. GearBridge is a sole proprietorship organized under the laws of the State of Colorado, and these Terms reflect that structure.
2. Changes to These Terms
We may revise these Terms at any time by posting an updated version on the Platform ("Revised Terms"). The Revised Terms take effect when posted, or on a later date if specified. Your continued use of the Platform after Revised Terms are posted means you accept them. If the Revised Terms include material changes, we will make reasonable efforts to notify you in advance, and you may need to affirmatively accept the Revised Terms before continuing to use the Platform. You should review these Terms periodically.
3. Eligibility and Accounts
a. Age and Legal Capacity
You must be at least 18 years old to use the Platform. By accepting these Terms, you confirm that you are at least 18, that you have not been previously suspended or removed from the Platform, and that your use of the Platform complies with all applicable laws. If you are accepting on behalf of an entity, you represent that you have authority to bind that entity.
b. Account Registration and Security
All account registration information must be truthful and current. You are responsible for keeping it up to date. GearBridge may suspend or terminate any account that contains information we reasonably believe to be false or incomplete.
You are solely responsible for safeguarding your account credentials and for all activity that occurs under your account. If you suspect unauthorized access, notify us immediately at austin@gearbridge.co.
4. The Platform
a. Ownership of Platform Content
All content on the Platform — including graphics, layout, text, images, audio, video, designs, logos, domain names, trade dress, and the overall look and feel (collectively, "Materials") — is owned by, controlled by, or licensed to GearBridge. Materials are protected by copyright, trademark, patent, and other intellectual property laws. You may not copy, reproduce, download, or distribute any Materials except as expressly permitted by these Terms. All rights not expressly granted are reserved by GearBridge.
b. Your License to Use the Platform
Subject to your compliance with these Terms, GearBridge grants you a limited, personal, non-exclusive, revocable, non-transferable license to access and use the Platform on devices you own or control. This license does not extend to any Items (as defined in Section 5) you purchase, sell, or exchange through GearBridge — those are governed by the transaction terms below.
c. Prohibited Conduct
When using the Platform, you agree not to:
Use the Platform for any unlawful purpose or in violation of any applicable law;
Harass, threaten, bully, or otherwise harm any other user;
Infringe or misappropriate any third-party intellectual property or other rights;
Disable or circumvent any security features of the Platform, or reverse engineer any part of the Platform except where expressly permitted by law;
Upload viruses, malware, or other harmful code, or interfere with the Platform's operation, networks, or servers;
Send unsolicited communications or collect personal information about other users without their consent;
Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
Transfer or sell your access to the Platform, or any Materials, to any third party; or
Attempt or assist anyone in attempting any of the foregoing.
d. Third-Party Links
The Platform may link to third-party websites or services. We do not control, endorse, or assume responsibility for any third-party content, products, services, or practices. You access third-party sites at your own risk.
e. Feedback
If you provide suggestions, ideas, or other feedback about the Platform ("Feedback"), you grant GearBridge a perpetual, irrevocable, non-exclusive, royalty-free, worldwide right to use that Feedback for any purpose, including improving the Platform and developing new products or services.
5. Transactions
The following terms apply when you buy, sell, or trade items through the Platform. Products transacted through GearBridge are referred to as "Items." A purchase or sale between you and GearBridge is a "Transaction." When you exchange an Item for another Item listed on the Platform, that is a "Trade-in" or "Trade."
a. Purchasing Items
Placing Orders
When you submit an order, you will receive an email acknowledgment. This acknowledgment is not an acceptance. GearBridge accepts orders only after verifying order details and payment. We may cancel any order we cannot fulfill or where we have concerns about the registration information you provided. All orders are subject to these Terms.
Pricing
Prices on the Platform do not include applicable taxes. If an Item is listed at an incorrect price, we may cancel any order for that Item that has not yet shipped.
Payment
You authorize GearBridge to charge the payment method on file for your orders. For credit card payments, we may seek pre-authorization to confirm the card is valid and has sufficient funds.
b. Selling Items to GearBridge
Submitting Items for Sale
Each Item you sell must match the make, model, and cosmetic condition you describe when requesting a quote. GearBridge will provide a quotation based on the expected condition, subject to physical inspection. Quotations are valid for fourteen (14) days from issuance.
Upon receiving and inspecting your Item, GearBridge may revise the quotation or cancel the Transaction at any time before payment is issued. Payment will be issued promptly after we assign a cosmetic condition to the Item.
If a quotation revision is needed, we will notify you. You may request return of the Item at any time before payment is issued. You must provide accurate payment details (bank routing and account numbers) via the secure link we send by email. If you fail to provide correct payment details within 3 months of inspection, GearBridge may take ownership of the Item without further notice or payment.
Responding to Adjusted Quotes
For adjusted quotes, you must respond within 3 months of the adjustment email — either by clicking "accept" or by replying in writing to decline and providing a return address. Accepting an adjusted quote is final and binding. If you do not respond within 3 months, we may dispose of the Item as we see fit, including taking ownership, recycling, or donating it.
Grounds for Cancellation or Adjustment
GearBridge may cancel a Transaction or Trade-in, or adjust any valuation, at any time before completion, including but not limited to situations where:
Items differ in age, model, or specifications from what was quoted;
Items are faulty or show signs of imminent failure;
Items are not as described;
Promised accessories (batteries, chargers, etc.) are missing;
Items show excessive wear inconsistent with the quoted cosmetic condition;
Items show signs of impact, shock, or other damage;
Items show signs of internal fungal growth, moisture, or damp conditions; or
GearBridge believes the Items may be counterfeit or stolen.
Transfer of Ownership
Once GearBridge processes payment to you — whether initiating or scheduling an ACH transfer — ownership of the Item transfers fully and irreversibly to GearBridge. This transfer does not depend on the accuracy of your payment details or on the payment clearing in your account.
c. Trade-Ins
To complete a Trade-in, you must agree to the quote GearBridge provides for the Item(s) you are trading in, and shipping must be arranged. The Trade-in becomes final and binding only after we receive your address details and send you a confirmation email acknowledging acceptance and shipping arrangements.
GearBridge does not reserve the item you select for redemption until both your agreement to the quote and shipping arrangements are confirmed.
In Trade-in returns, you may return the purchased Item in its original condition with all received accessories within fourteen (14) days of receipt for a refund that includes the cash value of the Item(s) you traded in. GearBridge will not return the original Item(s) you sold once the Transaction is complete.
d. Shipping and Delivery
Delivery of Purchased Items
Items you purchase will be shipped to the address you provide at checkout. GearBridge is not responsible for address changes submitted after payment. Signature requirements are at GearBridge's sole discretion. GearBridge is not liable for late delivery, loss, damage, or non-delivery of any parcel, however caused.
Shipping Items to GearBridge
You are responsible for packaging costs when shipping Items to us. If you do not use the shipping method GearBridge specifies, we are not liable for shipping costs.
Courier Collection
If GearBridge offers courier pickup from your address and you choose this option, it will be free of charge. GearBridge is not liable for late or missed collections. If the courier cannot collect due to a GearBridge or courier error, we will arrange an alternative date at our expense. If collection fails due to no response, incorrect address, or other reasons attributable to you, GearBridge may charge you for rescheduling.
Courier Service for Sellers
GearBridge offers customers within the 48 contiguous United States free shipping via a trackable, signed-for courier service we approve (the "Courier Service"). Packaging costs are not covered. This service is not guaranteed for customers outside the contiguous United States and may be offered case-by-case at our discretion.
Shipping labels cover one box unless you specify otherwise. If your Items require multiple packages, inform us before booking. Display your unique GearBridge reference number clearly on the package and include a copy of the quote and your contact details. We may reject parcels without valid labels.
If your package is damaged in transit to GearBridge, notify us immediately. If it is lost, notify us within 14 calendar days of dispatch so we can investigate. You must provide any information we reasonably request to validate your claim.
We will consider a loss or damage claim only if: (i) the courier's tracking system shows the package as "collected" or equivalent (drop-off at a collection center alone is insufficient); (ii) you provide verified evidence of your identity and address; (iii) you provide evidence of ownership (original invoice, photographs, condition evidence); (iv) you have followed all GearBridge processes, including correct labeling; and (v) you provide any other information we reasonably require.
Investigations may take up to 30 days from the date all requested information is provided. We will notify you of any extraordinary delays. Investigation outcomes are final. The maximum claim amount is the final valuation or order invoice amount.
Items not described in your order quote are shipped at your own risk. You agree to package all Items carefully for transit. Inadequate packaging may affect insurance claims. GearBridge is not liable for transit damage caused by insufficient packaging, or for loss or theft due to improper addressing or failure to use our shipping label.
e. Returns and Refunds
Canceling a Purchase
To cancel, email austin@gearbridge.co within fourteen (14) days of receiving your Item, stating your name and order number.
Return Authorization
You must contact us and obtain a Return Authorization Number before returning any Item.
Return Shipping
Return Items via an insured, trackable, signed-for delivery service. If the return is due to a GearBridge error and you are within the 48 contiguous United States, we will provide a prepaid shipping label. Otherwise, return shipping is your responsibility.
Return Conditions
All returns must include the original sales invoice. Items must be returned in the same condition as when you received them. You have a duty of reasonable care while Items are in your possession. If an Item has deteriorated beyond normal use, we may deduct the cost of deterioration from your refund. GearBridge is not liable for lost or damaged returns.
Refunds
Refunds cover only the Item purchase price — shipping fees are not refundable.
Replacements
GearBridge may issue a refund instead of a replacement for any returned Item, including Items returned as faulty or not as described, subject to our Limited Warranty.
Limited Warranty
GearBridge provides a Limited Warranty for Items purchased on the Platform, unless otherwise stated. Items sold as faulty or for parts/repair are excluded. Details are available on the Warranty page.
Shipping Protection
If you purchased shipping protection through our Shippo-integrated insurance program (administered by XCover.com and Cover Genius Warranty LLC), refer to the terms in your XCover account.
Drone Equipment Returns
Drone returns are subject to our technicians reviewing the flight log. All drone warranties are void if the aircraft was crashed in ATTI mode. GearBridge is not liable for drone damage caused by: (i) non-manufacturing factors, including pilot error or fire; (ii) unauthorized modification, disassembly, or opening not per official instructions; (iii) improper installation, incorrect use, or operation contrary to official instructions; or (iv) service by an unauthorized provider.
f. Item Condition Standards
Cosmetic Condition Assessment
The cosmetic condition you report when requesting a quote directly affects the price offered. If physical inspection reveals a different condition, we may offer a revised valuation. GearBridge may also determine that an Item does not meet our standards for resale, in which case we will return it to you.
Condition Grades
Like New: Appears brand new. Little to no wear on body or casing. Minimal or no dust, marks, or cosmetic defects.
Excellent: Minor wear visible on body or casing. Light dust, marks, or cosmetic defects may be present.
Good: Noticeable wear on rubber grips, ports, or other components. Dust, marks, and cosmetic defects may be present.
Well Used: Clear wear and light scuffs on rubber grips, ports, or other components. Considerable dust, marks, and cosmetic defects may be present.
Heavily Used: Significant wear, heavy marks, or scuffs on rubber grips, ports, or other components. Heavy dust, marks, and cosmetic defects may be present.
Accessories
Original manufacturer accessories (battery, charging cable, original packaging, etc.) included with your Item will be factored into the quote. Non-original accessories must be listed separately on the quote form. If you do not list them separately, we will assume they are included in the sale at no additional value. If the Transaction does not complete, we are not obligated to return unlisted items and may dispose of them. If you forget to include a listed accessory, the quote will be reduced accordingly. We will not accept or process accessories sent separately and are not responsible for additional shipping costs.
Physical Inspection
Upon receiving your Item, we conduct a detailed physical inspection to verify it matches your description. During inspection, we may:
Remove stickers, personal labels, or addresses;
Remove damaged or non-original packaging;
Remove lens coats or filters;
Remove third-party accessories (collars, hoods, etc.) we cannot list with the Item;
Remove protective films, covers, or screen protectors;
Open wrapped or packaged products for testing;
Remove peripheral items (memory cards, filters, etc.) we cannot offer on;
Clean the Item;
Remove packing materials;
Dispose of damaged, swollen, or non-functional batteries;
Dispose of damaged cables or chargers;
Dispose of accessories too damaged for resale;
Attach removable stickers or safety labels; or
Perform similar inspection-related activities.
These changes will not be reversed if the Transaction does not complete and we return the Item.
Revised Valuations
If inspection requires a valuation adjustment, we will email you with the revised amount and options to accept or decline. If you decline, the Item will be returned at our expense to your address on file (or an alternate address you provide and we acknowledge). Return shipments do not require a signature unless otherwise agreed.
Acceptance of Revised Valuations
Accepting a revised valuation is final and binding. The revised price becomes the only price we will pay for the Item. Once accepted — whether in writing or verbally — no further negotiation or cancellation is possible.
g. Item Descriptions and Personal Data
GearBridge disclaims liability for the accuracy of used Item descriptions to the fullest extent permitted by law. Items do not necessarily include accessories such as lens hoods, straps, or memory cards unless specifically stated. If a listing contains errors, you may return the Item within the Return Period if we cannot resolve the issue.
Before sending any Item to GearBridge, you must delete all personal information stored on it (images, contacts, etc.). GearBridge is not responsible for returning, deleting, or protecting any personal data on Items you send us.
h. Payments
Payment Method
Seller payments are made via ACH transfer. After a Transaction is agreed, you will receive a secure link to enter your routing and account numbers for payment to a registered bank account.
Payment Accuracy
You are responsible for providing correct and complete payment details. GearBridge is not liable for any loss — including misdirected payments — caused by errors in the information you provide.
Payment Delays
Incorrect or incomplete payment details may cause payment delays. GearBridge is not liable for such delays.
Third-Party Payment Processing
Some payment methods involve third parties beyond our control. GearBridge is not responsible for delays caused by these third parties. Payments may be subject to validation and security checks.
Overpayment
If we overpay you in error, you agree to return the excess amount immediately to the GearBridge account we designate.
i. Cancellations
GearBridge may refuse or cancel any Transaction or Trade-in at any time, for any reason, at our sole discretion and without liability. If you have already paid for a canceled order, we will refund your payment.
j. Claims and Investigations
Damage or Loss Claims
To report a lost or damaged Item, contact austin@gearbridge.co. GearBridge is not liable for loss or damage caused by your negligence. Subject to Section 10, our liability will not exceed the quoted value of the relevant Item(s).
Non-Delivery Claims
To report non-delivery, contact austin@gearbridge.co. GearBridge is not liable for non-delivery caused by your negligence or fault. Subject to Section 10, our liability will not exceed the quoted value of the relevant Item(s).
Proof of Collection
Valid proof of collection or drop-off is a printed receipt from the courier (at your address or at a courier depot) or electronic tracking confirmation showing collection or drop-off. Handwritten confirmation is not accepted. Do not hand over packages unless the courier can scan them and provide a printed receipt. If dropping off, obtain a printed receipt before leaving.
Courier Liability
GearBridge is not liable if courier tracking shows no collection into the courier network. Use of drop-off facilities is at your own risk.
Investigation Process
If a package is delayed, appears lost, or does not arrive within the standard timeframe, GearBridge will investigate with the courier. No payment, refund, or replacement will be issued until any investigation — including our internal review — is complete. Complete investigations take up to 30 days. All investigation outcomes are final. Transaction information may be shared with authorized third parties to verify your identity, ownership, and delivery details, and you agree to cooperate.
6. User Content
The Platform may include interactive features where users can post opinions, information, materials, and other content ("User Content"). Descriptions and photos of Items are also User Content.
a. License You Grant Us
When you submit User Content to the Platform or directly to us, you grant GearBridge a non-exclusive, royalty-free, worldwide, sublicensable license to use, reproduce, modify, display, and distribute that content solely for operating, promoting, and improving the Platform — including displaying Item listings and associated descriptions and photos. This license continues for a commercially reasonable period after you remove your User Content (to account for caching and archival), but we will not continue to actively display removed content.
b. Content Standards
All User Content you submit must comply with the following:
You must own or have all necessary rights to the content, or all contributors and depicted persons must have given you permission to post it;
Photos of real people must be of you or of someone who gave you express permission;
Content must not include unauthorized third-party logos, trademarks, or materials;
Content must not contain discriminatory remarks based on race, national origin, gender, sexual orientation, or disability, and must not be defamatory, obscene, or sexually explicit;
Content must not reveal another person's address, phone number, email, credit card number, or other information that could be used to track, contact, or impersonate them; and
Content must not contain viruses, malware, or other harmful technologies.
c. Our Rights Regarding User Content
We have no obligation to prescreen, monitor, edit, or remove User Content, but we reserve the right to do so at any time, for any reason. If your User Content is offensive, objectionable, or infringes third-party rights, you may bear legal responsibility. We have no obligation to enforce your intellectual property rights in your User Content, but we may protect our own and our licensees' rights.
We may screen, remove, edit, or block User Content that violates these Terms or is otherwise objectionable, at any time and without notice. You acknowledge that User Content comes from many sources and may be inaccurate, offensive, or objectionable, and you waive any claims against GearBridge relating to User Content.
d. User Content Disclaimer
We disclaim all liability for User Content. You are solely responsible for your User Content and its consequences. By posting User Content, you represent that: (a) you are the creator and owner, or hold all necessary licenses and permissions; and (b) your content does not and will not infringe any third-party intellectual property, privacy, or publicity rights, defame any person, or cause GearBridge to violate any law.
e. No Confidentiality
Except as described in our Privacy Policy, User Content is treated as non-confidential and non-proprietary. Submitting User Content does not create a confidential, fiduciary, or special relationship with GearBridge. We are not obligated to post, retain, or use any User Content.
7. Intellectual Property
a. Copyright Infringement (DMCA)
GearBridge respects intellectual property rights. If you believe your copyrighted work has been infringed on the Platform, send a notice to our designated copyright agent with the following information as required by the Digital Millennium Copyright Act ("DMCA"): (i) a physical or electronic signature of the authorized person; (ii) a description of the copyrighted work claimed to be infringed; (iii) a description of the infringing material and information sufficient for us to locate it; (iv) your contact information; (v) a statement that you have a good-faith belief the use is not authorized; and (vi) a statement under penalty of perjury that the notice is accurate and that you are authorized to act on behalf of the rights owner.
Knowingly misrepresenting that material is infringing under Section 512(f) of the Copyright Act may result in liability for damages.

b. Other Intellectual Property Claims
If you believe Platform content violates your non-copyright intellectual property rights, send us: (i) your physical or electronic signature; (ii) identification of the infringing material and sufficient information to locate it; (iii) an explanation of the rights you hold and why you believe infringement has occurred; and (iv) your contact information. Send complaints to austin@gearbridge.co.
c. General
We may request additional information before removing potentially infringing material. If a dispute arises over ownership of rights, we may remove all disputed content pending resolution. We will notify you if your materials are removed based on a third-party infringement complaint.
8. Taxes
GearBridge collects and remits sales tax as required by Colorado law on taxable transactions delivered into Colorado. For deliveries to other states, we collect and remit sales tax where required by applicable law. You are responsible for any applicable taxes not collected by GearBridge.
9. Representations and Warranties
a. Your Warranties
You represent and warrant that: (i) you have the legal right and capacity to enter into and comply with these Terms; (ii) you hold all rights necessary to perform your obligations under these Terms; and (iii) you are authorized to use the payment method associated with any purchase or sale on the Platform.
If you sell or trade in an Item, you additionally warrant that you own all right, title, and interest in that Item. GearBridge may request proof of ownership at any time, and acceptance of such proof is at our sole discretion.
b. Disclaimer of Warranties
To the fullest extent permitted by law, and except as set forth in our Limited Warranty, the Platform — including all Materials, Items, User Content, functions, and services — is provided "as is," "as available," and "with all faults." GearBridge and its agents, vendors, and contractors (the "GearBridge Parties") make no representations or warranties of any kind, whether express or implied, regarding: (a) the Platform or its content; (b) Materials or Items available through the Platform; (c) the accuracy, completeness, reliability, or timeliness of any information on the Platform; (d) the security of information transmitted to or from the Platform; or (e) any products, services, or instructions referenced on the Platform. The GearBridge Parties disclaim all implied warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, title, quiet enjoyment, system integration, and freedom from viruses or harmful components.
The GearBridge Parties do not warrant that the Platform or Items will be error-free or uninterrupted, that defects will be corrected, or that the Platform's servers are free from harmful components. Your use of the Platform is at your sole risk.
By using the Platform, you represent that your activities are lawful in every jurisdiction where you access or use it.
GearBridge offers a Limited Warranty on certain Items. See the Warranty page for details.
10. Limitation of Liability
To the fullest extent permitted by law, and except as set forth in our Limited Warranty, the GearBridge Parties will not be liable for any indirect, incidental, special, consequential, or punitive damages (including lost profits, goodwill, or other intangible losses) arising from your use of or inability to use the Platform, Materials, or Items, regardless of legal theory and whether or not any GearBridge Party was advised of the possibility of such damages.
Except as provided in Section 12(d)(C), the total liability of the GearBridge Parties for all claims under these Terms is limited to the greater of: (a) the amount you paid to or received from GearBridge for Items in the 12 months before the event giving rise to the claim; or (b) $100.
Each liability limitation, warranty disclaimer, and damages exclusion in these Terms is an intentional allocation of risk that forms an essential part of the bargain between you and GearBridge. These provisions are severable and independent, and apply even if any limited remedy fails of its essential purpose.
11. Indemnification
You agree to defend and indemnify the GearBridge Parties, to the fullest extent permitted by law, from and against all third-party claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or connected with: (a) your use or misuse of the Platform or Items in violation of these Terms; (b) your violation of these Terms, any applicable law, or any representation or warranty you made; (c) your violation of any third-party right, including intellectual property, privacy, or publicity rights; or (d) any dispute between you and a third party.
If you sell or trade in an Item, you also indemnify GearBridge against all third-party claims arising from any breach of the ownership warranty in Section 9(a).
We may, at our expense, assume exclusive defense and control of any indemnified matter, and you agree to cooperate with our defense.
12. Dispute Resolution
a. Agreement to Arbitrate
You and GearBridge agree that all disputes arising from or relating to these Terms — whether based in contract, tort, statute, fraud, or any other legal theory — will be resolved through binding individual arbitration rather than in court. This applies to claims arising both during and after termination of these Terms. Arbitration is less formal than litigation: it uses a neutral arbitrator (not a judge or jury), may involve more limited discovery, and is subject to limited judicial review. The arbitrator may award the same relief as a court.
By accepting these Terms, you and GearBridge each waive the right to a jury trial and the right to participate in a class action. This agreement is governed by the Federal Arbitration Act.
b. Exceptions
Nothing in this Section prevents either party from: (i) bringing an individual action in small claims court; (ii) pursuing an enforcement action through an applicable government agency; (iii) seeking injunctive relief in aid of arbitration from a court of competent jurisdiction; or (iv) filing suit to address intellectual property infringement.
c. Arbitration Rules and Administration
Arbitration will be conducted under the Federal Arbitration Act, governed by the Commercial Dispute Resolution Procedures and the Supplementary Procedures for Consumer Related Disputes of the American Arbitration Association ("AAA Rules"), as modified by these Terms. The arbitrator has exclusive authority to decide questions of interpretation, applicability, or enforceability of this arbitration agreement.
d. Pre-Arbitration Notice
Before initiating arbitration, the complaining party must send the other party a written notice of the dispute ("Notice") by certified mail or email. Send Notices to GearBridge at: austin@gearbridge.co. The Notice must describe the claim and specify the relief sought ("Demand"). The parties will attempt to resolve the dispute in good faith for 30 days. If unresolved, either party may initiate arbitration.
Settlement offer amounts must not be disclosed to the arbitrator until after the final decision. If arbitration resolves in your favor, GearBridge will pay the highest of: (A) the arbitrator's award; (B) the last written settlement offer GearBridge made before the award; or (C) $15,000.
e. Arbitration Fees and Location
GearBridge will reimburse your filing fee for claims of $10,000 or less. For claims exceeding $10,000, fee allocation follows the AAA Rules. Hearings will take place at a mutually agreed location in Denver, Colorado. For claims of $10,000 or less, you may choose: (a) document-only arbitration; (b) telephone or video hearing; or (c) in-person hearing under AAA Rules in the county of your billing address.
If the arbitrator determines your claim or Demand is frivolous or improper (under the standards of Federal Rule of Civil Procedure 11(b)), fees will be governed by AAA Rules and you agree to reimburse GearBridge for any fees we previously paid on your behalf.
The arbitrator must issue a written decision explaining the essential findings and conclusions. Written decisions and information exchanged during arbitration are confidential, except as needed to enforce or seek limited judicial review of the award. Fee disputes may be resolved at any time during the proceeding or within 14 days of the merits ruling.
f. No Class or Representative Actions
You and GearBridge may bring claims only in an individual capacity — not as a plaintiff or class member in any class or representative proceeding. The arbitrator may not consolidate claims of multiple persons or preside over any class or representative proceeding unless both parties agree.
g. Changes to This Arbitration Provision
If we modify this arbitration provision (other than updating our Notice address), you may reject the change within 30 days by sending written notice to our Notice address. Rejection will result in immediate termination of your account, and the prior version of this provision will survive.
h. Severability
If Section 12(f) or this entire Section 12 is found unenforceable, this Section 12 will be null and void, and the jurisdiction and venue provisions in Section 13 will govern.
13. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-laws principles. For disputes not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts in Colorado and irrevocably submit to their jurisdiction.
14. General Provisions
a. Termination
GearBridge may terminate or suspend your access to the Platform at any time, without notice, if we believe you have violated these Terms or any Additional Terms. We may also investigate suspected violations and refer them to law enforcement.
We may modify, suspend, or discontinue any part of the Platform — including Materials, Items, and content — at any time, with or without notice. We are not liable to you or any third party for such changes.
Upon termination: (i) your license to the Platform ends immediately and you must stop using it; (ii) you lose access to your account; and (iii) all payment obligations accrued before termination survive, along with Sections 4(a), 4(c), 6, 7, 8–11, 12–13, and this Section 14.
b. Territorial Restrictions
The Platform is intended for use and purchase within the United States only. The Platform is not intended for distribution in jurisdictions where doing so would violate local law or subject GearBridge to registration requirements. Users outside the United States access the Platform at their own initiative and are responsible for local law compliance.
We may limit Platform availability, content, products, services, or Items to any person, geography, or jurisdiction at any time.
Software available through the Platform may be subject to U.S. export controls. No software may be exported to (a) any U.S.-embargoed country or its nationals, or (b) anyone on the U.S. Treasury Department's Specially Designated Nationals list or the Commerce Department's Table of Deny Orders. You agree to comply with all applicable export and use laws.
c. Electronic Communications
By using the Platform, you consent to receiving electronic communications from us as described in our Privacy Policy. Electronic notices, agreements, disclosures, and other communications from GearBridge satisfy any legal requirement that such communications be in writing.
d. Data Mining and Scraping
You may not conduct, facilitate, or permit any text or data mining, web scraping, or automated data collection in connection with the Platform. This includes using bots, spiders, scrapers, or other automated tools to access, copy, monitor, or republish any Platform content, and any automated analytical techniques applied to Platform data to extract patterns, trends, or correlations. This restriction applies to the fullest extent enforceable by contract under applicable law.
Unauthorized use of Platform data — including pricing information and the product database — is strictly prohibited.
e. Waiver and Severability
GearBridge's failure to enforce any provision of these Terms is not a waiver. No waiver is effective unless in writing and signed by GearBridge. Neither course of conduct nor trade practice modifies these Terms. If any provision is found unenforceable, it will be severed without affecting the remaining provisions.
f. Assignment
GearBridge may assign its rights and obligations under these Terms at any time without notice. You may not assign your rights without our prior written consent.
g. Construction
Section headings are for convenience only and have no legal effect. These Terms will not be construed against GearBridge by virtue of having drafted them.
h. Force Majeure
GearBridge is not liable for delays or failures caused by events beyond our reasonable control, including acts of God, war, terrorism, accidents, fires, floods, strikes, labor disputes, supply or transportation shortages, utility or Internet interruptions, or government actions.
i. Right to Refuse Service
We may refuse service to anyone who exhibits abusive, threatening, or harassing behavior toward GearBridge or its personnel.
